Dürr, a leading European plant engineering and automation company, has finalized the sale of its environmental technology business, Clean Technology Systems, to an affiliate of US-based Stellex Capital Management. The transaction, first announced in June, marks a significant shift in Dürr’s corporate strategy as the company sharpens its focus on core automation and robotics operations.
Transaction Details and Financial Impact
The deal values the Clean Technology Systems Environmental division at approximately €385 million. Dürr expects to receive gross proceeds between €290 million and €310 million in the fourth quarter, with the final amount subject to transaction costs and taxes, most of which are due in 2026. Additionally, Dürr retains a 25 percent reinvestment stake in the business. The book profit from the sale is projected to be between €220 million and €250 million before taxes, and between €160 million and €190 million after taxes, pending final balance sheet confirmation.
Strategic Refocus on Automation
The divestment of Clean Technology Systems is a pivotal step in Dürr’s ongoing corporate simplification initiative, which began last year. The Clean Technology Systems division, a global leader in exhaust-air purification systems, generated €407 million in sales in 2024 and employs around 1,300 people. Alongside this sale, Dürr has consolidated its automotive business and divested other non-core assets, reducing its divisions from five to three.
Leadership Perspectives
Dr. Jochen Weyrauch, CEO of Dürr, stated that the sale completes the company’s structural simplification, allowing Dürr to concentrate fully on the sustainable automation of production processes. According to Weyrauch, the environmental technology business is now well-positioned for continued growth and innovation under Stellex’s ownership.
Karthik Achar, Partner at Stellex, expressed optimism about the future, highlighting the potential to expand Clean Technology Systems globally by leveraging Stellex’s transatlantic resources and maintaining a strong partnership with Dürr.
Implications for Business Owners and Investors
- Dürr’s streamlined structure is designed to enhance operational efficiency and accelerate growth in its core automation market.
- The sale provides significant capital for reinvestment in automation, robotics, and innovation initiatives.
- Clean Technology Systems, now under Stellex, is expected to pursue new business fields and global expansion.
This strategic move underscores the increasing importance of focus and agility for established industrial players navigating rapidly evolving markets. By divesting non-core assets and reinforcing its automation expertise, Dürr aims to strengthen its competitive position and deliver long-term value to shareholders and customers.
