Dürr, a leading plant engineering and automation company in Europe, has finalized the sale of its environmental technology business, Clean Technology Systems, to an affiliate of Stellex Capital Management. This move marks a significant shift in Dürr’s corporate strategy as the company aims to streamline its operations and concentrate on its core automation business.
Transaction Details
The transaction, initially announced in June, involves Dürr retaining a 25 percent reinvestment in the environmental technology division. The deal values the business at approximately 385 million euros, with Dürr expecting gross proceeds between 290 and 310 million euros in the fourth quarter. These proceeds will be adjusted for transaction-related costs and taxes, most of which are due in 2026. Additional payments for capital contributed prior to the sale are not included in the gross proceeds.
The anticipated book profit from the sale ranges from 220 to 250 million euros before taxes and 160 to 190 million euros after taxes, with final figures pending the completion of the balance sheet.
Impact on Dürr’s Corporate Structure
The divested Clean Technology Systems division is recognized as a global leader in exhaust-air purification systems, generating 407 million euros in sales in 2024 and employing around 1,300 people. The sale is part of a broader initiative to simplify Dürr’s corporate structure, which began last year. Other recent measures include consolidating the automotive business into a single Automotive division and selling Danish filling technology specialist Agramkow. As a result, Dürr has reduced its divisions from five to three, enhancing operational focus and efficiency.
Strategic Focus on Automation
Dr. Jochen Weyrauch, CEO of Dürr, stated that the sale completes the company’s structural simplification, allowing full attention on sustainable automation of production processes. Under Stellex’s ownership, the environmental technology business is expected to pursue continued growth and explore new markets.
Karthik Achar, Partner at Stellex, expressed confidence in driving the future growth of Clean Technology Systems globally, leveraging Stellex’s transatlantic resources and maintaining a strong partnership with Dürr.
