Schneider Electric and PTC Inc. announced on October 5, 2026 that they signed a definitive agreement under which Schneider will acquire PTC, the US maker of design, engineering and product data software.
The terms
Schneider will pay $205 per share in cash. That values PTC’s equity at about $22.6 billion (about 20.1 billion euros). The release puts the implied enterprise value at $23.7 billion. The price is a 42.3% premium to PTC’s last closing price and a 46.1% premium to its 30-trading-day volume-weighted average price before the announcement. The deal is subject to closing conditions.
Schneider said it expects about 250 million euros of annual cost synergies by year three and about 800 million euros of revenue synergies.
Why Schneider says it is buying
Schneider CEO Olivier Blum said the deal advances its goal of leading in “Energy and Industrial Intelligence” by joining data across the life of products and assets. Schneider already owns the industrial software group AVEVA. It also pointed to its separate Cognite transaction, which is itself still subject to regulatory approvals.
PTC CEO Neil Barua said the all-cash deal “delivers certain and compelling value” to shareholders.
What is not known
The cited announcement does not specify a closing date or name the regulators whose clearance would be required. The synergy and premium figures are the companies’ own.
